Terms of Service
The terms that apply when you use the Tera Systems website, client portal, integrations and services.
1. About these terms
These Terms of Service ("Terms") are an agreement between you and Tera LLC, doing business as Tera Systems ("Tera Systems", "we", "us"). They apply when you use our website (terasystems.io and its subdomains), our client portal, our support channels, any integration you authorize us to connect to, and the services we provide (together, the "Services").
By using the Services, or by authorizing Tera Systems to connect to one of your accounts, you agree to these Terms. If you are using the Services for a business, you agree on behalf of that business and confirm you have authority to do so. If you do not agree, do not use the Services.
2. Other terms that may apply
Some Services have their own terms. If they conflict with these Terms, the more specific terms apply to that Service:
- Quotes, proposals, statements of work and work orders for a specific job, together with our Standard Work Order Terms at terasystems.io/work-order-terms.
- Partner Program Terms at terasystems.io/partner-terms, for referral partners.
- Our Privacy Policy at terasystems.io/privacy explains how we handle personal information.
3. Our services
We provide managed IT, networking, cloud, software, IoT and 3D printing services. The scope, schedule and price of paid work are set out in your quote, order or work order. We may change or stop offering parts of the website or free features at any time.
4. Your account
- Give us accurate information and keep it up to date.
- Keep your login details safe. You are responsible for activity on your account.
- Tell us right away at support@terasystems.io if you think your account has been misused.
- You must be at least 18 years old to create an account or buy Services.
5. Connected accounts and integrations
You may authorize Tera Systems to connect to an account you hold on another platform (for example through an OAuth authorization screen). When you do:
- you confirm you are allowed to grant that access;
- we access and use only the data and actions you approve, and only to provide the Services you asked for;
- that platform's own terms still apply to your use of it; and
- you can remove our access at any time in that platform's settings. Removing access may stop some Services from working.
We are not responsible for the other platform's availability, changes to its features, or its handling of your data.
6. Orders, fees and payment
- Prices are shown on our website, in your quote or in your work order. Taxes are extra where they apply.
- Custom quotes: for work without a listed price, an authorized Tera Systems admin issues a custom quote in your client portal. It is valid for 30 days and you accept it by paying at checkout. Our Standard Work Order Terms apply.
- Payments are processed by Stripe. By paying, you also agree to Stripe's terms.
- Invoices are due on receipt unless your order says otherwise. We may pause Services if a payment is overdue.
- Subscriptions renew automatically each billing period until cancelled. You can cancel before the next renewal date; fees already paid are not refunded unless the law or your order says otherwise.
- Refunds, cancellations and rescheduling follow the terms in your order. If your order does not cover it: you can cancel a subscription at any time from the client portal, and it ends at the end of the billing period you have already paid for; project work can be cancelled by written agreement of both parties, and you pay for work already done and materials already bought; and if we fully refund a purchase and you have nothing else active with us, we close your client portal access.
7. Remote support and access to your systems
If you ask us to work on your devices, network or accounts, you confirm you own them or are allowed to give us access. Remote sessions start only after you allow them, and you can end a session at any time. You are responsible for keeping current backups of your data before we start work, unless backups are part of the Services you bought.
8. Acceptable use
When using the Services, do not:
- break any law or anyone else's rights;
- upload malware, or try to break into, overload or disrupt our systems;
- access accounts or data you are not allowed to access;
- copy, resell or reverse-engineer our website, portal or software, except as the law allows;
- use the Services to send spam or unlawful messages; or
- give false information or pretend to be someone else.
We may suspend or close access if you break these rules.
9. Intellectual property
- Ours: The website, portal, software, content, logos and the Tera Systems name belong to Tera Systems or its licensors. You may use them only to use the Services.
- Yours: You keep ownership of your data and the materials you give us. You give us permission to use them only to provide the Services.
- Work we create for you: ownership of deliverables is set out in your work order or statement of work.
- Feedback: if you send us ideas or suggestions, we may use them without owing you anything.
10. Third-party products and services
The Services may include or link to products and services from other companies (for example hardware, software licences, hosting or payment services). Those are covered by their own terms and warranties. We are not responsible for them.
11. Disclaimers
Except as stated in your order or work order, the Services are provided "as is" and "as available". To the extent the law allows, we do not promise that the Services will be uninterrupted, error-free or completely secure, and we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.
12. Limitation of liability
To the extent the law allows:
- we are not liable for indirect, incidental, special or consequential losses, or for lost profits, revenue or data; and
- our total liability for any claim relating to the Services is limited to the amount you paid us for the Service involved in the 12 months before the claim.
Nothing in these Terms limits liability that cannot be limited by law.
13. Indemnity
If you use the Services for a business, you will defend and cover Tera Systems against claims, losses and costs caused by your breach of these Terms, your misuse of the Services, or content or data you provide that breaks the law or someone else's rights.
14. Ending these Terms
You can stop using the Services at any time. We may suspend or end your access if you break these Terms or if we stop offering a Service. Sections that by their nature should continue (for example payment, intellectual property, disclaimers, limitation of liability and indemnity) continue after the Terms end.
15. Disputes and governing law
If you have a problem, please contact us first at support@terasystems.io so we can try to fix it informally. These Terms are governed by the laws of the State of Connecticut, without regard to conflict-of-law rules. Any court case will be brought in the state or federal courts located in the State of Connecticut, unless the law requires otherwise.
16. Changes to these Terms
We may update these Terms. We will change the "Last updated" date at the top and, for important changes, tell clients by email or on our website. If you keep using the Services after a change takes effect, you accept the updated Terms.
17. General
- If any part of these Terms cannot be enforced, the rest still applies.
- Not enforcing a right once does not waive it.
- You may not transfer these Terms without our written consent. We may transfer them as part of a merger or sale of our business.
- We are not responsible for delays caused by events outside our reasonable control.
- You agree that we can send notices, invoices and agreements to you electronically (by email or in the client portal). Notices to us go to support@terasystems.io.
- These Terms, plus any order, work order or other terms named in section 2, are the whole agreement between you and us about the Services.
